Introduction and Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of the website https://www.parulpharmaceuticals.in/ (“Website”), including the purchase of products offered through it.
The Website is owned and operated by Parul Pharmaceuticals Pvt. Ltd. (“Company”, “Parul Pharmaceuticals”, “we”, “us” or “our”).
By accessing, browsing, registering on, or placing an order through the Website, you (“User”, “Customer”, “you” or “your”) agree to be bound by these Terms, together with our Privacy Policy, Return Policy, Refund Policy, Cancellation Policy, Shipping & Delivery Policy and any other policies displayed on the Website and applicable to your transaction.
If you do not agree with these Terms, please discontinue use of the Website.
These Terms constitute an electronic record under applicable Indian law and do not require a physical signature merely to be legally valid.
Scope of the Website
The Website provides information about and facilitates the purchase of pharmaceutical, healthcare, wellness and other products specifically listed and offered for sale by the Company, subject to applicable laws and product-specific requirements.
The Website does not provide online medical consultations, diagnostic laboratory testing, or surgical services as part of its service offering.
The Website is not a substitute for consultation with a qualified healthcare professional. Any product-related information displayed on the Website is intended to help customers understand the product and is not a personalised medical diagnosis, prescription or treatment recommendation.
The Company reserves the right to add, modify, suspend or discontinue products or website features, subject to applicable law and any obligations arising from confirmed orders.
Eligibility to Use the Website
You may use the Website only if you are legally competent to enter into a binding contract under applicable Indian law.
- You must be at least 18 years old to create an account or place an order in your own name.
- If you are acting on behalf of another person who is legally unable to contract, you must have the lawful authority to do so and comply with applicable requirements.
- You must provide accurate, complete and current information when registering, ordering or contacting the Company.
- You must not impersonate another person, create an account using false information or misuse another person’s account.
- The Company may refuse registration, suspend an account or cancel an order where there are reasonable grounds to suspect fraud, unlawful activity, misuse or a violation of these Terms.
Any restriction under this section will be applied subject to applicable consumer protection and other statutory rights.
Account Registration and Security
Certain features may require registration or the provision of contact and delivery details.
You are responsible for maintaining the confidentiality of your login credentials and for activities carried out through your account, except to the extent that the activity results from circumstances for which the Company is legally responsible.
You agree to:
- Maintain accurate account information and update it when necessary.
- Keep your password and authentication details confidential.
- Notify the Company promptly if you suspect unauthorised access to your account.
- Avoid sharing account access with unauthorised persons.
- Use the Website only for lawful purposes.
The Company may take reasonable steps to verify account or order information and may restrict access where necessary to prevent fraud, protect customers, maintain security or comply with law.
Product Information and Availability
The Company endeavours to display product descriptions, images, pack sizes, prices, applicable taxes, directions, storage information and other relevant particulars accurately.
However, minor variations in images, packaging, colours, layout or presentation may occur. Such variations do not affect the Company’s obligation to supply the product ordered in accordance with the applicable product description and law.
Product availability may change without notice. A product displayed on the Website is not a guarantee of continuing stock availability or acceptance of an order.
The Company may correct an inadvertent typographical, technical, pricing or product-description error and may contact the Customer if the error materially affects an order. Any cancellation, correction, refund or other remedy will be handled in accordance with applicable law and the relevant order circumstances.
The Company will not knowingly supply counterfeit, spurious or unlawfully marketed products. Products will be offered only to the extent permitted by applicable law and subject to the relevant licences, approvals and restrictions.
Product Use and Health-Related Information
Customers must read product labels, packaging, instructions, warnings, storage requirements and any other supplied information before using a product.
Where a product requires a prescription or other legal authorisation, the Customer must provide valid documentation and satisfy the applicable requirements. The Company may verify the documentation and decline or hold an order where it is invalid, incomplete, inconsistent or legally insufficient.
Customers must not:
- Use a medicine contrary to its approved label, prescription or professional advice.
- Treat general information on the Website as a substitute for medical advice.
- Purchase, resell or use products for an unlawful purpose.
- Provide false or altered prescriptions, licences or other documents.
The Company does not guarantee that a product is suitable for every individual or medical condition. Customers should consult a registered medical practitioner or other appropriately qualified professional when advice is required.
Nothing in these Terms excludes any responsibility that the Company may have under applicable law in relation to product quality, safety, labelling, lawful sale or other statutory obligations.
Placing and Accepting Orders
By placing an order, you confirm that:
- You are authorised to make the purchase.
- The details submitted by you are accurate.
- You have reviewed the product description, quantity, price, delivery details and applicable policies.
- You will comply with any prescription, age, identity or other legal requirements applicable to the product.
After an order is placed, the Website may send an order acknowledgement by email, SMS, WhatsApp or another available communication channel. An order acknowledgement confirms receipt of the order; it does not necessarily constitute final acceptance.
An order may be accepted after payment validation, stock confirmation and any required prescription or compliance checks. The Company may communicate acceptance or order status electronically.
The Company may reject or cancel an order where, for example:
- The product is unavailable.
- The order contains a material pricing or listing error.
- Payment is unsuccessful, disputed or reasonably suspected to be fraudulent.
- Required prescription or regulatory documentation is missing or invalid.
- The delivery address is incomplete, inaccessible or outside the serviceable area.
- The transaction appears fraudulent, unlawful or inconsistent with applicable requirements.
Where an amount has already been collected for an order that the Company cancels, the amount paid for the cancelled portion will be refunded in accordance with the Refund Policy and applicable law.
The Company will not use this clause to avoid fulfilling a confirmed order without a lawful or contractually valid basis.
Prices, Taxes and Offers
Product prices, discounts, shipping charges and applicable taxes will be displayed or communicated before you complete your purchase, as applicable.
Unless expressly stated otherwise, prices are in Indian Rupees (INR).
The final amount payable will be shown at checkout or in the order confirmation and may include applicable taxes, shipping fees or other charges disclosed before the order is placed.
Promotional offers, discount codes and vouchers may be subject to product eligibility, validity periods, minimum order values, usage limits and other conditions displayed with the offer.
The Company may modify or discontinue future promotional offers, subject to the terms of an offer already accepted and applicable law. Offers may not be combined unless expressly permitted.
The Company may investigate suspected misuse of promotions, including the use of multiple accounts, automated transactions or false information. Any action taken will be proportionate and consistent with applicable law.
Payments
Payments may be made through the payment methods made available at checkout, which may include online payment gateways, cards, UPI, net banking or other supported methods.
You agree to provide accurate payment information and authorise the payment method selected for the transaction.
The Company does not store or have access to full payment-card credentials where such processing is handled by an independent payment service provider. Payment processing may be subject to the provider’s own terms, security procedures and privacy practices.
The Company is not responsible for interruptions caused solely by a third-party payment provider or banking network beyond its reasonable control. However, the Company will reasonably assist in investigating payment issues relating to orders placed through the Website.
If payment is deducted but an order is not confirmed, the Customer should contact ecom@parulpharmaceuticals.in with the order reference and relevant transaction details. Refunds for failed or cancelled transactions will be handled under the Refund Policy and applicable law.
Customers must not initiate a false payment dispute or knowingly submit inaccurate transaction information. This does not restrict the Customer’s lawful right to dispute an unauthorised, incorrect or otherwise legitimately contested transaction.
Shipping and Delivery
Delivery is subject to the Shipping & Delivery Policy displayed on the Website.
Customers must provide a complete and accurate delivery address, contact number and any other information required for successful delivery.
Delivery estimates are indicative unless expressly guaranteed in writing. Delivery may be affected by stock availability, courier operations, weather, transport disruptions, regulatory checks, public holidays and other circumstances beyond the Company’s reasonable control.
The Customer should inspect the outer package, where reasonably possible, at delivery and promptly report visible damage, tampering, missing items or incorrect products in accordance with the applicable policy.
The Company may require reasonable evidence, such as photographs of the parcel, shipping label, invoice and product packaging, to investigate a delivery complaint. Such requirements will be applied reasonably and will not override statutory consumer rights.
If delivery fails because of an incorrect address, repeated unavailability, refusal to accept delivery or other circumstances attributable to the Customer, the Company may contact the Customer to arrange a further attempt or handle the order under its applicable policy and law.
The Company will take reasonable steps to investigate orders reported as lost, damaged or incorrectly delivered.
Cancellation, Returns and Refunds
Order cancellations, product returns and refunds are governed by the following separate policies published on the Website:
- Return Policy
- Refund Policy
- Cancellation Policy
- Shipping & Delivery Policy
These policies form part of these Terms.
Due to the nature of pharmaceutical and healthcare products, certain products may be subject to restrictions on return or resale, particularly where packaging is opened, seals are broken, storage conditions are uncertain or product integrity may be affected.
However, no provision of these Terms or the separate policies is intended to exclude remedies available under applicable consumer protection law for defective, damaged, incorrect, spurious, misdescribed or otherwise legally non-compliant products, or where another remedy is required by law.
Customers must follow the relevant policy’s reporting procedure and provide reasonable information to help the Company verify a claim. The Company may investigate suspicious, inconsistent or apparently fraudulent claims before approving a remedy.
Customer Responsibilities and Prohibited Conduct
You agree to use the Website lawfully and responsibly.
You must not:
- Use the Website to commit fraud or facilitate an unlawful transaction.
- Submit false, misleading, defamatory, obscene or unlawful material.
- Upload malicious software, viruses or harmful code.
- Attempt unauthorised access to the Website, its servers, accounts or systems.
- Interfere with Website operations, security or other users’ access.
- Scrape, copy, harvest or extract Website data through automated means without prior written permission, except where permitted by law.
- Copy or commercially exploit Website content without the required authorisation.
- Misuse another person’s personal information or account.
- Circumvent prescription, age, payment, product-safety or other regulatory requirements.
The Company may investigate suspected violations, preserve relevant records where legally permitted or required, restrict access, cancel unlawful transactions and report suspected illegal activity to the appropriate authorities.
Any suspension or restriction will be subject to applicable law and will not remove rights that cannot lawfully be excluded.
Intellectual Property
Unless otherwise stated, the Website and its content including the Company’s logos, trademarks, product descriptions created by the Company, graphics, layout, text, photographs and software are owned by or licensed to the Company and are protected by applicable intellectual property laws.
You are granted a limited, personal, non-exclusive and non-transferable right to access and use the Website for lawful browsing and purchasing purposes.
You must not reproduce, modify, distribute, publicly display, commercially exploit or create derivative works from Website content without prior written permission, except to the extent permitted by law.
Product names, trademarks, logos and materials belonging to third parties remain the property of their respective owners.
Privacy and Electronic Communications
The Company may collect and process personal information required to operate the Website, create accounts, process orders, arrange delivery, process payments, provide customer support, prevent fraud, comply with legal requirements and improve its services.
Personal information will be handled in accordance with the Company’s Privacy Policy and applicable data-protection laws, including provisions that are in force under the Digital Personal Data Protection Act, 2023 and applicable rules, as and when relevant.
The Company may share relevant information with authorised service providers, including logistics partners, payment processors, technology providers and regulatory or law-enforcement authorities where permitted or required by law.
By providing your contact details and placing an order, you agree to receive essential transactional communications, such as order confirmations, payment updates, delivery notifications, refund updates and customer-service messages.
Promotional communications will be handled in accordance with applicable law and the choices available to you. You may opt out of promotional messages where the applicable process permits, without affecting essential communications relating to an existing order or legal obligations.
Please refer to the Privacy Policy for further information about data collection, use, sharing, retention, security and applicable user rights.
Third-Party Websites and Service Providers
The Website may use or link to third-party services, including payment gateways, logistics providers, communication tools and external websites.
Such services may be governed by their own terms and privacy policies. The Company does not control every aspect of third-party systems and is not responsible for independent acts or omissions of third parties beyond the Company’s reasonable control.
This provision does not exclude any liability the Company may have for its own selection, instructions, representations, contractual obligations or conduct under applicable law.
A link to a third-party website does not automatically constitute an endorsement of that website or its products.
Website Availability and Technical Issues
The Company endeavours to keep the Website accessible and secure but does not guarantee uninterrupted or error-free operation.
Access may occasionally be interrupted for maintenance, software updates, security measures, system failures or events outside the Company’s reasonable control.
The Company may modify or discontinue features, provided that it deals fairly with existing confirmed orders and complies with applicable legal obligations.
You are responsible for using reasonably secure devices and networks. The Company will take reasonable steps to protect its systems and user information in accordance with applicable requirements.
Disclaimer and Limitation of Liability
The Website and its general informational content are provided for lawful browsing and product-purchase purposes. Product information is not a substitute for personalised medical advice.
To the extent permitted by law, the Company does not guarantee uninterrupted Website access or that every technical or display error can be prevented.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence where such exclusion is impermissible, death or personal injury where liability cannot lawfully be excluded, or any other liability that cannot be excluded or restricted under applicable law.
The Company will not be liable for indirect or consequential losses to the extent such losses are legally excludable and were not reasonably foreseeable, subject always to statutory consumer rights and other non-excludable obligations.
The Company remains responsible for obligations imposed on it by applicable law concerning products it manufactures, markets, supplies or sells, including any applicable product quality, safety, labelling, consumer protection and regulatory obligations.
Nothing in this section removes a Customer’s right to seek a refund, replacement, compensation or other remedy available under applicable law.
Indemnity
To the extent permitted by law, you agree to be responsible for losses, costs or claims reasonably arising from your unlawful use of the Website, deliberate fraud, wilful misconduct, infringement of third-party rights or material breach of these Terms.
This clause does not require you to indemnify the Company for losses caused by the Company’s own unlawful conduct, negligence, breach of statutory duty or other conduct for which the Company is legally responsible.
Suspension and Termination
The Company may suspend or restrict access to an account or the Website where reasonably necessary to investigate suspected fraud, protect security, comply with law, prevent misuse or address a material breach of these Terms.
Where reasonably practicable, the Company may notify the affected user and provide an opportunity to clarify the matter. Immediate action may be taken where necessary to prevent harm, unlawful activity or security risks.
You may stop using the Website at any time and may request account deletion through the available process or by contacting customer support.
Account closure does not automatically cancel an existing order, eliminate a payment obligation already lawfully incurred or require deletion of records that the Company must retain under applicable law. Personal information will be handled in accordance with the Privacy Policy and applicable retention requirements.
Force Majeure
The Company will not be responsible for delay or failure to perform an obligation to the extent it is caused by events beyond its reasonable control, such as natural disasters, floods, fire, epidemics, war, civil unrest, government restrictions, transport disruptions, widespread telecommunications failures or interruptions to essential infrastructure.
The Company will take reasonable steps to mitigate the impact and communicate material delays where practicable.
Force majeure does not automatically extinguish a Customer’s statutory rights or entitle the Company to retain payments where a refund is legally due.
Changes to These Terms
The Company may update these Terms to reflect changes in law, products, Website features, security requirements or business operations.
The updated version will be published on the Website with its revised effective or updated date. Where required by law or where a change materially affects an existing transaction, appropriate notice or consent will be obtained.
Changes will not retrospectively remove rights that have already accrued to a Customer or override terms that legally govern a confirmed transaction.
You should review these Terms periodically when using the Website.
Governing Law and Jurisdiction
These Terms are governed by the laws of India.
Subject to applicable law, disputes arising out of the use of the Website or these Terms shall be submitted to the courts of competent jurisdiction at Vadodara, Gujarat, where such courts are legally competent to hear the matter.
The Gujarat High Court shall have jurisdiction only in matters falling within its jurisdiction under applicable law. Nothing in this clause restricts a consumer from approaching a competent Consumer Disputes Redressal Commission or any other statutory authority where such access is available under law.
The parties may attempt to resolve disputes through the Company’s grievance-redressal process before pursuing other remedies. Nothing in this clause prevents either party from exercising a statutory right or seeking urgent legal relief where available.
